These Terms of Service ("Terms") govern your use of the website https://www.sysktech.com (the "Site") and any services, software, or support provided by Sysk, LLC ("Sysk," "we," "our," or "us"). By accessing or using the Site or our services (collectively, the "Services"), you agree to these Terms. If you do not agree, please do not use the Site or Services.
1. Eligibility
You must be at least 18 years old and have the legal capacity to enter into binding contracts. By using our Services, you represent and warrant that you meet these requirements.
2. Account Registration
Creating an Account. Certain Services (e.g., the Client Portal) require you to register for an account. You agree to provide accurate, current, and complete information.
Credentials. You are responsible for safeguarding your username and password. You agree not to share your credentials and to notify us promptly of any unauthorized use.
3. Services
Scope. We offer IT support (PC repair, remote assistance), managed services (MSP), training and certification assistance, AI‐driven tools, custom software development, penetration testing, and related technology solutions. We plan to expand our services and offerings in the future.
Engagement. All work is governed by separate statements of work, service agreements, or purchase orders, which shall control in case of conflict with these Terms.
4. Fees & Payment
Pricing. Fees for each Service are set forth in your service agreement or invoice.
Invoices & Payment Terms. Invoices are due within 30 days of receipt unless otherwise agreed in writing. Late payments accrue interest at 1.5% per month or the maximum allowed by law.
Taxes. You are responsible for all applicable taxes, duties, and governmental fees.
5. Your Obligations
You agree to:
- Provide accurate information and cooperate with Sysk in delivering Services.
- Maintain necessary hardware, software, and network infrastructure.
- Comply with all applicable laws and regulations in your use of our Services.
6. Intellectual Property
Our IP. All trademarks, service marks, logos, text, graphics, code, and other content on the Site are owned by or licensed to Sysk and are protected by U.S. and international intellectual property laws.
Your Content. You retain ownership of data or materials you submit ("Your Content"). By submitting Your Content, you grant Sysk a non‑exclusive, worldwide, royalty‑free license to use, reproduce, and display it solely to provide the Services.
7. Confidentiality
Each party agrees to hold confidential any non‑public information disclosed in connection with the Services ("Confidential Information") and to use it only for performance under these Terms. Exceptions apply to information that is publicly known, independently developed, or required by law to be disclosed.
8. Warranties & Disclaimers
Our Warranties. We warrant that we perform our Services in a professional and workmanlike manner consistent with industry standards.
Disclaimers. EXCEPT AS EXPRESSLY PROVIDED ABOVE OR ANYWHERE ELSE, SYSK DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SYSK BE LIABLE FOR:
- INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES;
- LOST PROFITS, REVENUE, OR DATA;
- DAMAGES IN EXCESS OF THE AMOUNTS YOU PAID SYSK IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless Sysk and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of:
- Your breach of these Terms;
- Your misuse of the Services;
- Your violation of any law or third‑party rights.
11. Termination
By You. You may terminate your account at any time by contacting us directly.
By Us. We may suspend or terminate your access for breach of these Terms, non‑payment, or for any other reason, with or without notice.
Effect. Upon termination, all rights granted to you under these Terms cease, and you must promptly cease using the Services.
12. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Virginia.
13. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date at the top will reflect the revision. Continued use of the Site or Services after changes constitutes your acceptance of the new Terms.
